REFERRAL AGREEMENT

This Referral Agreement (“Agreement”) is between Connected Investors, LLC, a Delaware limited liability company (“CI”) and the entity or individual that provides its electronic acceptance of this Agreement  (“Contractor”) (collectively, the “Parties,” or individually, a “Party”).  This Agreement is effective upon the date below (“Agreement Effective Date”).  By clicking “Apply” Contractor agrees to be bound by all terms and conditions contained in this Agreement:

1.	Referral Services, Delivery & Fees: Contractor shall refer to CI potential customers (“Referral Services”) seeking to utilize CI’s Software product offered by CI through its website, www.connectedinvestors.com (the “CI Software”).  

A.	Qualified Leads: A “Qualified Lead” is a person or entity that: (i) is not currently a customer of CI, or (ii) has not transacted business with CI within 12 months prior to Contractor’s discovery of the lead.  

B.	Qualified Lead Information: Upon discovery of a Qualified Lead, Contractor shall provide the Qualified Lead with an internet link to a customized landing page (developed by CI), which will permit the Qualified Lead to contract with CI for access to the CI Software.  

C.	Division of Cash Receipts: CI agrees to pay Contractor specific percent of  cash receipts derived from each Qualified Lead that become an actual customer of CI (“Revenue Share”) as outlined in the applicable Referral Agreement Addendum executed by Contractor and CI.  The Revenue Share shall continue for the initial lifespan of the customer from the effective date of each Qualified Lead’s contract with CI, and shall apply to all receipts derived from the Qualified Leads use of the CI Software.  If the Qualified Lead terminates service with CI and then reinstates using Contractor’s customized landing page, CI will resume paying the Revenue Share. If CI issues any refunds (in CI’s discretion) or is charged any chargebacks or related charges related to a Qualified Lead, such amount shall be deducted from the Contractor’s Revenue Share.  CI shall pay the Revenue Share monthly via ACH within 45 days of the close of each calendar month.  

D.	Activity Dashboard. CI shall provide Contractor with access to an online dashboard to track activity on a daily basis that will include information such as a list of all Qualified Leads, a list of the Qualified Leads who have become actual customers, an accounting of the Revenue Share, and performance history.

2.	Term and Termination.  The term of this Agreement is for 12 months, commencing on the Agreement Effective Date.  Thereafter, the term will automatically renew for additional successive 12-month terms.  Either Party may terminate this agreement for convenience upon 30 days’ written notice to the other Party.  In the event of any such termination, CI shall continue to pay Contractor any amounts due pursuant to Section 1.C above. 

3.	Agency.  The Parties acknowledge that this is a business relationship based on the express provisions of this Agreement and no partnership, joint venture, agency, fiduciary or employment relationship is intended or created by this Agreement.  Neither Party is the legal representative or agent of, nor has the power or right to obligate, direct or supervise the daily affairs of the other Party, and neither Party shall act or represent or hold itself out as such.  The rights, duties, obligations and liabilities of the Parties shall be several and not joint, each party being individually responsible only for its obligations as set forth in this Agreement. 

4.	Creative Content.  CI shall provide Contractor with approved logos, images, infographics, a unique website URL, and related marketing materials (“CI Marketing Materials”) and marketing guidelines. Contractor shall only use CI Marketing Materials in accordance with the marketing guidelines and shall not alter any CI Marketing Materials.  Contractor shall include CI Marketing Materials in accordance with the marketing guidelines anytime Contractor is posting content related to the CI Software (including but not limited to self-created videos, images, or infographics) or undertaking any other activities promoting, displaying, or otherwise demonstrating or discussing the CI Software. 

5.	Marketing Restrictions.  Contractor shall comply with the following in connection with the Referral Services: 

•	Contractor shall comply with all applicable laws in marketing and promoting the CI Software and providing the Referral Services including but not limited to the Federal Trade Commission Guidelines Concerning the Use of Endorsements and Testimonials, Telephone Consumer Protection Act, and Canned Spam Act.

•	Contractor shall not, without the prior written consent of CI in each instance: (i) use ANY “incentivized marketing” or establish, or cause to be established, any promotion that provides any sweepstakes entries, rewards, points or other compensation to be earned in connection with the CI Software, nor create the appearance of incentivized marketing or otherwise attempt to induce consumers to use the CI Software; and/or (ii) promote the CI Software on any coupon, deal or discount sites, or on any GTP/Get Paid to Click sites. 

•	Contractor may not, nor knowingly permit any person to, inflate the number of Qualified Leads through any deceptive or misleading practice or method including, but not limited to, the use of any spyware, adware, device, program, robot, iFrames, redirects, spiders, computer script or other automated, artificial or fraudulent methods designed to appear like an individual, real live person is a Qualified Lead.  

•	Contractor shall not purchase keywords from search engine service providers (“Paid Search Networks”) or purchasing inclusion in search engine networks (“Paid Inclusion Networks”), where the associated keywords include CI trademarks, or the trademark, service mark or brand name of any third party. Contractor must provide all text and proposed keywords/phrases that it would like to bid on to CI for approval or editing, prior to submitting same for use to any Paid Search Network or Paid Inclusion Network. Without limiting the foregoing, Contractor must not violate the rules, requirements or regulations of any Paid Search Network or Paid Inclusion Network. 

•	Contractor may not use inappropriate content on, or in connection with, the Referral Services including, without limitation, content that promotes or contains language referring to: (i) the use of alcohol, tobacco or illegal substances, nudity, sexually explicit material, pornography, profanity, adult-oriented content, expletives or inappropriate language; (ii) illegal or unethical activity, deceptive acts, racism, hate, material that promotes violence, "spam," mail fraud, gambling, pyramid schemes, investment opportunities or illegal advice; (iii) libelous, defamatory, infringing, false or misleading content, or other content that is contrary to public policy; (iv) content that may expose CI to negative publicity; (v) content that violates the rights of others, such as intellectual property or privacy rights; (vi) activities generally understood as Internet abuse including, but not limited to, the sending of unsolicited bulk electronic mail; or (vii) content that is otherwise offensive or inappropriate in CI’s sole discretion.

•	Contractor shall not generate any materials that contain any statement or implication: (i) that any CI product is “free”; (ii) that any CI product is without cost or obligation; or (iv) that misrepresents any fact material to consumers concerning the CI Software, such as: (A) the total cost applicable to the CI Software; (B) any material restrictions, limitations or conditions applicable to the CI Software; or (C) any material aspect of the CI Software’s performance, efficacy or central characteristics.

•	Contractor acknowledges that Company may disclose certain information related to the CI Software and Company’s business including, but not limited to: (i) product development strategy and activity, marketing strategy, corporate assessments and strategic plans, either present or future; (ii) pricing, financial and statistical information, accounting information; (iii) software, source code, systems, processes, designs, schematics, methods, techniques, algorithms, formulae, inventions, discoveries, policies, guidelines, procedures, practices, disputes or litigation; and (iv) other confidential, proprietary or trade secret information disclosed by Company (“Confidential Information”). Contractor shall not use, disseminate, reproduce or permit to be used, disseminated or reproduced, or in any way disclose Confidential Information to any person or entity except as required by law or as specifically permitted in this Agreement.  Absent prior written consent of Company, Contractor shall disclose Confidential Information only to those of its employees and independent contractors who have previously agreed to be bound by the terms and conditions of this Agreement and its in-house and outside legal counsel who need to know such information. Contractor shall treat all Confidential Information disclosed to it in connection with this Agreement as strictly confidential using commercially reasonable measures at least equal to those used by Contractor with respect to its own Confidential Information.  

6.	Governing Law; Forum; Jury Trial; Attorneys’ Fees.  The interpretation and construction of this Agreement is governed by the laws of the State of California.  Any proceeding to enforce or interpret the terms of this Agreement and/or he obligations, duties or rights of the Parties contained herein shall be brought before and resolved in the State or U.S. District Court located within Orange County, California, having subject matter jurisdiction over the issues raised by such proceeding and the Parties hereby submit to the personal jurisdiction of said court for all such purposes.    Each Party hereby also waives any defenses it may have before such courts based on inconvenient forum.  THE PARTIES WAIVE THEIR RESPECTIVE RIGHTS TO A TRIAL OF ANY ACTION OR PROCEEDING ARISING OUT OF THIS AGREEMENT BY JURY.  THIS WAIVER MEANS JUDGMENT MAY BE ENTERED BY A JUDGE OR OTHER NEUTRAL REFEREE APPOINTED BY THE COURT.  The prevailing Party shall be awarded its reasonable attorneys’ fees and costs in any lawsuit or claim arising out of or related to this Agreement.  

7.	Uncontrollable Acts.  Either Party shall be excused from the performance of its obligations and shall not be liable for any delay caused by the occurrence of contingencies beyond its control including, but not limited to: acts of terrorism, war (declared or not declared), sabotage, insurrection, riot, act of civil disobedience, act of any government, accident, fire, explosion, flood, storm, earthquake, volcanic eruption, nuclear event, any act of God, labor disputes, failure or delay of shippers, or unavailability of components or equipment, but not including payment obligations.

8.	Assignment.  Neither Party shall assign or transfer this Agreement or any rights or obligations under this Agreement without the approval of the other party.  A change in control constitutes an assignment under this Agreement.  For purposes of this Agreement, a “Change in Control” means: (a) any transaction in which a party merges or consolidates with or into another entity; (b) any transaction or series of transactions in which a party sells or otherwise transfers more than 20 percent of its capital stock (without regard to class or voting rights) or other securities or ownership interests; or (c) the sale, transfer or other disposition of all or substantially all of a party’s assets or the complete liquidation or dissolution of a party. Any unauthorized assignment or transfer shall be null and void, ab initio, and shall constitute sufficient grounds for the immediate termination of this Agreement by the other party.  This Agreement binds and inures to the benefit of the Parties and their respective permitted successors and permitted assigns.  

9.	Execution.  This Agreement may be executed in any number of counterparts, each of which is deemed an original, and all taken together constitute one and the same instrument.  If this Agreement is executed in counterparts, no signatory is bound until all Parties have duly executed this Agreement and all Parties have received a fully executed Agreement.  The parties acknowledge that any signature transmitted by facsimile or e-mail (in .pdf, .tif, .jpeg, or a similar format), or a photocopy of such transmission, is deemed to constitute the original signature of such party to this Agreement. The individuals signing below represent that they are authorized to do so by and on behalf of the Party for whom they are signing.

10.	Modifications to the Agreement. The Parties may agree to modify or amend the terms and conditions set forth in this Agreement.  Any such modifications or amendment shall be reflected in writing in the applicable Referral Agreement Addendum. In the event there is conflicting language between this Agreement and the Referral Agreement Addendum, the Referral Agreement Addendum shall control and take precedence over the Agreement. 

11.	Entire Agreement.  With respect to the Referral Services provided under this Agreement, this Agreement and any associated  Referral Agreement Addendum constitute the entire agreement between the Parties and supersedes all prior and contemporaneous agreements and understandings of the Parties.  No modifications to this agreement are effective unless in writing and signed by both Parties.
